This is a standard terms-of-service template written to be a sound starting point, not final legal advice. It is being reviewed, and these details are still to be confirmed:
pxl·uchi is a trade name of CityPOV Interactive Inc., a company registered in British Columbia, Canada (“we”, “us”). We provide hosted real-estate websites with live MLS® listings, neighbourhood data, embeddable widgets, and lead-capture and CRM tools for REALTORS® and their teams.
The service is intended for licensed real-estate professionals and their businesses. You’re responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. You must ensure your brokerage, P.R.E.C./PREC status, office address, and team information shown on your site are accurate and compliant with the rules that apply to you.
You retain ownership of the content you provide (text, images, logos, listings you’re authorized to display). You grant us a licence to host, display, adapt for layout, and distribute that content solely to operate the service for you. You represent that you have the rights to the content you upload and that it doesn’t infringe others’ rights.
Listing content is provided via the CREA Data Distribution Facility (DDF®) and is subject to CREA’s and the relevant boards’ terms. You agree to use it only as permitted, for consumers’ personal, non-commercial use, and not to scrape, resell, or redistribute it. “REALTOR®”, “REALTORS®”, and “MLS®” are trademarks of The Canadian Real Estate Association (CREA); you agree to display them correctly and only where you are entitled to.
You agree not to: use the service unlawfully or to mislead consumers; publish false, fraudulent, or non-compliant real-estate information; infringe intellectual-property or privacy rights; upload malware; attempt to disrupt, reverse-engineer, or gain unauthorized access to the platform; or use it to send unsolicited messages in violation of anti-spam laws (including Canada’s CASL).
The pxl·uchi platform, software, templates, and branding are owned by us and our licensors. These Terms don’t transfer any ownership in them to you; you receive only the right to use the service while your subscription is active.
The service integrates third-party providers (including GoHighLevel, Stripe, and MLS® data sources). Your use of those features may also be subject to their terms, and we aren’t responsible for their services.
The service is provided “as is” and “as available.” We don’t warrant that it will be uninterrupted or error-free, or that MLS® or neighbourhood data will be complete, current, or accurate — that data comes from third-party sources and may lag or contain errors. Nothing here is legal, financial, or real-estate advice.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, leads, revenue, or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.
You agree to indemnify and hold us harmless from claims arising out of your content, your use of the service, or your violation of these Terms or applicable law.
We may suspend or terminate access for non-payment, breach of these Terms, or to protect the platform or others. You may stop using the service and cancel at any time. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have.
We may update these Terms from time to time. We’ll post the revised version here with a new “Last updated” date; continued use after changes take effect means you accept them.
